Service Agreement and Resource Reservation

By submitting payment, Client agrees to the following terms. This payment constitutes a binding service agreement between Client, being Ryan Thogmartin and any company named at checkout, and Qinary Corporation, an Arizona corporation ("Company"). Upon execution of this agreement, a dedicated team is assembled and assigned to Client's account. All fees are billed in advance to reserve team capacity and production resources, and payment is due in full regardless of utilization. Non-participation, including missed meetings, unanswered communications, or failure to supply access or materials, does not constitute grounds for cancellation, pause, credit or refund. All fees are stated and charged in United States dollars.

Term and Payment

The fee is $3,500 per month, charged automatically on the same date each month, or on the last day of a shorter month, beginning on the date of first payment. This agreement has a minimum committed term of six consecutive months (six monthly payments, $21,000 in total). Early termination during the minimum term requires payment of all remaining payments in the minimum term. After the minimum term the agreement continues month to month until either party gives written notice before the next monthly payment date, and services end at the close of the month already paid.

Scope

Company will provide a long form content strategy for Client, developed by Buck Wise and adjusted monthly. Company will provide one studio session per month of up to two hours at its studio in Scottsdale, Arizona, scheduled with Client, in which Buck Wise interviews Client, with cameras, lighting and audio provided by Company and the look and feel of the session set with Buck Wise. Company will edit each session into 30 short form clips per month, with hooks, captions and on-screen text, delivered to Client in a shared folder. Company will provide a private Slack channel with Buck Wise and the team. Unused studio sessions do not roll over.

Not Included

Excluded from this agreement and available only under a separate scope and fee: editing, hosting and publishing of full length episodes, posting or scheduling content on Client's accounts, additional studio sessions, paid advertising spend and management, website work, and Client's travel to Scottsdale for studio sessions.

Client Participation

Client will attend one studio session per month in Scottsdale and take part in planning the strategy with Buck Wise. The content produced depends on Client's participation in the sessions.

Content Approval

Clips are delivered to Client for review. Client decides what is published and when.

Access and Accounts

Client's accounts remain in Client's name throughout. Company does not require access to Client's accounts under this agreement.

Employer Policies

Client is responsible for ensuring that content Client publishes complies with any marketing or compliance requirements that apply to Client's business.

Content and Intellectual Property

All content, strategies, brand assets and deliverables created by Company on behalf of Client remain the intellectual property of Client upon full payment. Company retains the right to showcase work in portfolio, case studies and promotional materials unless Client provides written objection.

Client Responsibilities

Client is responsible for the rights to any content, images, music and names supplied to Company, for the consent of anyone who appears in content Client supplies, for timely approvals, and for the accuracy of financial, legal and professional information published.

Results

Social platforms are third-party systems that Company does not control. Reach, followers, engagement and business results depend on factors outside this engagement, including platform changes and market conditions. Services are provided on a best-effort professional basis and no specific result is guaranteed.

Refunds

Qinary Corporation does not issue refunds under any circumstances. Payment of any invoice constitutes acceptance of these terms.
